Effective Date: July 17, 2023 Welcome to BenzBoots! These terms and conditions ("Terms") govern your use of the BenzBoots soccer marketplace platform ("Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform. Account Registration and Eligibility: 1.1. In order to access certain features of the Platform, you must create an account. You must provide accurate, current, and complete information during the registration process. 1.2. You must be at least 18 years old to create an account and use the Platform. If you are under the age of 18, you may use the Platform only with the involvement and consent of a parent or legal guardian. 1.3. You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. User Conduct: 2.1. You agree to use the Platform only for lawful purposes and in compliance with these Terms. You will not use the Platform in any manner that violates any applicable laws or regulations. 2.2. You will not engage in any conduct that may harm, disable, overburden, or impair the Platform or interfere with any other user's enjoyment of the Platform. 2.3. You will not use the Platform to transmit, distribute, or store any material that is infringing, obscene, defamatory, or otherwise objectionable. 2.4 Prohibited Conduct: Users are strictly prohibited from using the marketplace to identify, contact, or engage with other users with the intention of diverting or soliciting them for personal gain or to benefit competing platforms. Any attempt to poach customers, undermine the integrity of the marketplace, or engage in unfair competition is strictly forbidden. 2.5 Non-Compete Agreement: By using this marketplace, users agree not to create, promote, or engage in any activities that directly compete with the services offered by the platform for a specified period after their usage. This restriction includes but is not limited to creating similar platforms or services that could potentially harm the marketplace's business and customer base. 2.6 Intellectual Property Rights: All intellectual property rights, including user data and customer information obtained through the marketplace, belong solely to the platform. Users are explicitly prohibited from using any information acquired from the platform to solicit or engage with customers for their personal gain or to benefit competing platforms. 2.7 Confidentiality and Privacy: The marketplace is committed to protecting the confidentiality and privacy of user information. Users are strictly prohibited from using customer data or any other information obtained from the platform for any purpose other than facilitating transactions within the marketplace. Sharing or using customer information outside of the platform for personal gain or the benefit of competing platforms is strictly forbidden. 2.8 Reporting Violations: Users are encouraged to report any suspicious activities, including attempts to poach customers or engage in unfair competition, to the marketplace administration promptly. The platform will investigate such reports thoroughly and take appropriate actions against offenders, including but not limited to suspension or termination of user accounts. 2.9 Enforcement and Remedies: Any violation of these terms and conditions may result in penalties, including temporary or permanent suspension of user accounts, legal action, or any other remedies deemed necessary by the marketplace administration. The platform reserves the right to take appropriate action to protect its business interests, users, and customer base. Listing and Selling Items: 3.1. BenzBoots provides a marketplace for the sale of soccer-related items. Sellers may list items for sale, and buyers may purchase items from the Platform. 3.2. Sellers are responsible for the accuracy and completeness of their listings. Listings must include accurate descriptions, pricing, and any other relevant information. 3.3. Sellers agree to fulfill their obligations to buyers in a timely manner. Failure to fulfill a sale may result in penalties, including suspension or termination of the seller's account. 3.4. Buyers agree to pay the agreed-upon price for items purchased and comply with any additional terms specified by the seller. 3.5. BenzBoots does not guarantee the availability, quality, or authenticity of items listed on the Platform. Buyers and sellers are solely responsible for their transactions. Intellectual Property: 4.1. The Platform and its contents, including but not limited to text, graphics, logos, images, and software, are owned by or licensed to BenzBoots and are protected by intellectual property laws. 4.2. You may not reproduce, modify, distribute, display, or create derivative works of the Platform or its contents without the prior written consent of BenzBoots. Privacy Policy: 5.1. Your privacy is important to us. Our Privacy Policy explains how we collect, use, and disclose information about you. By using the Platform, you consent to our collection and use of your information as described in the Privacy Policy. Limitation of Liability: 6.1. To the extent permitted by applicable law, BenzBoots and its affiliates, officers, directors, employees, agents, and suppliers shall not be liable for any direct, indirect, incidental, special, or consequential damages resulting from your use or inability to use the Platform or from any goods or services purchased or obtained through the Platform. 6.2. In no event shall BenzBoots' total liability to you for all damages, losses, or causes of action exceed the amount paid by you, if any, for accessing or using the Platform. Modifications and Termination: 7.1. BenzBoots reserves the right to modify or discontinue the Platform, in whole or in part, at any time without notice. We may also modify these Terms from time to time. Any changes to the Terms will be effective upon posting on the Platform. 7.2. We may terminate or suspend your account and access to the Platform, with or without cause, at any time and without prior notice. Governing Law and Dispute Resolution: 8.1. These Terms shall be governed by and construed in accordance with the laws of Suffolk County, Massachusetts 8.2. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Suffolk County, Massachusetts Entire Agreement: 9.1. These Terms constitute the entire agreement between you and BenzBoots regarding your use of the Platform and supersede any prior agreements or understandings, whether oral or written. 2. Use license

This User License Agreement ("Agreement") is a legal contract between you (referred to as "User," "You," or "Your") and BenzBoots (referred to as "Company," "We," "Us," or "Our"). This Agreement governs your use of the BenzBoots online marketplace platform ("Platform") and sets forth the terms and conditions under which you may access and utilize the services provided by BenzBoots. By accessing or using the Platform, you acknowledge and agree to be bound by the terms and conditions of this Agreement. 1. License Grant Subject to your compliance with the terms of this Agreement, BenzBoots grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform solely for the purpose of engaging in legitimate soccer-related transactions within the guidelines established by BenzBoots. 2. Prohibited Conduct You agree to use the Platform in a responsible and lawful manner. You shall not: a. Use the Platform to engage in any unlawful activities or activities that infringe upon the rights of others. b. Use the Platform to identify, contact, or solicit other users for the purpose of diverting or stealing customers, or to benefit competing platforms. c. Engage in any activity that undermines the integrity of the Platform or violates fair competition. d. Use any automated systems, bots, or similar means to access, scrape, or collect data from the Platform without prior written consent from BenzBoots. e. Modify, adapt, translate, reverse engineer, decompile, or disassemble any part of the Platform, or attempt to circumvent any security measures. f. Use the Platform to transmit any harmful, offensive, or unlawful content, including but not limited to viruses, malware, or any content that violates intellectual property rights or privacy rights. g. Impersonate any person or entity, or misrepresent your affiliation with any person or entity. 3. Intellectual Property All intellectual property rights, including but not limited to trademarks, logos, designs, and copyrights associated with BenzBoots, shall remain the exclusive property of the Company. You shall not use, copy, reproduce, modify, distribute, or create derivative works based on the Platform or any content provided by BenzBoots without the express written consent of the Company. 4. Confidentiality and Privacy You understand and acknowledge that while using the Platform, you may have access to certain confidential information, including customer data and other proprietary information of BenzBoots. You agree to maintain the confidentiality of such information and shall not disclose or use it for any purpose other than as necessary to facilitate transactions within the Platform. Please refer to our Privacy Policy for detailed information on how we collect, use, and protect user data. 5. Termination BenzBoots reserves the right to suspend or terminate your access to the Platform at any time, with or without cause, at our sole discretion. In case of termination, the license granted under this Agreement shall immediately cease, and you shall no longer be authorized to access or use the Platform. 6. Limitation of Liability To the fullest extent permitted by law, BenzBoots shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or in connection with your use of the Platform, including but not limited to any loss of profits, data, or reputation. 7. Governing Law and Dispute Resolution This Agreement shall be governed by and construed in accordance with the laws of Suffolk County, Massachusetts. Any disputes arising out of or relating to this Agreement shall be resolved through negotiation and, if necessary, through binding arbitration in accordance with the rules of [Arbitration Association/Body]. Both parties hereby agree to submit to the exclusive jurisdiction of the courts of Suffolk County, Massachusetts for any litigation that may arise out of or relate to this Agreement. 8. Modifications BenzBoots reserves the right to modify or amend this Agreement at any time by posting the updated version on the Platform or providing notice to you through other means. Your continued use of the Platform after such modifications will signify your acceptance of the updated terms. By accessing or using the Platform, you acknowledge that you have read, understood, and agreed to be bound by the terms and conditions of this Agreement.
